Introduction
Welcome to Shaddeh! Your access to and use of Shaddeh's offerings, which include services available through the Shaddeh app, the Shaddeh website, and any related software or services (collectively referred to as the "Services"). is governed by these terms of use (the "Terms"). Please review these Terms carefully before engaging with our Services. In these Terms, "we," "our," "us," and "Shaddeh" refer to Shaddeh L.L.C-FZ, the entity responsible for operating the Services. For the purposes of these Terms, Conditions and agreements, the terms "Shaddeh" and "Shaddeh Games" and "Shaddeh L.L.C-FZ" are used interchangeably and shall be deemed to refer to the same entity. Any references to "Shaddeh" or "Shaddeh Games" or " Shaddeh L.L.C-FZ " regardless of the specific form of writing, shall be considered as referring to us, and all terms, conditions, agreements and provisions herein shall apply equally to all.
To utilize the Services, you must agree to these Terms. If you are registering or using the Services on behalf of an organization or another individual, you are affirming your authority to bind that entity or person to these Terms. In such cases, "you" and "your" will also refer to the organization or individual you represent.
You must meet the age requirement specified by both iOS and Android stores to use the Shaddeh application. Individuals below this age cannot access or register for the Services. If you are of legal age but not yet old enough to form a binding contract, you must obtain consent from a parent or guardian to review and agree to these Terms on your behalf before using the Services. Parents or guardians who consent to their child's use of the Services agree to abide by these Terms regarding their child's engagement with the Services.
Your purchases or use of the Services are not contingent upon the delivery of any anticipated features or functionalities nor are they reliant on any statements, whether verbal or written, made by Shaddeh or its affiliates regarding future features.
BY ACCESSING, DOWNLOADING, INSTALLING, OR OTHERWISE USING THE SERVICES OR MATERIALS PROVIDED WITH THE SERVICES, YOU ACKNOWLEDGE AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT ACCEPT THESE TERMS, PLEASE DO NOT USE, DOWNLOAD, INSTALL, OR ACCESS THE SERVICES.
Your Account
During the registration or use of the Services, you may need to provide Shaddeh with certain information, such as a username or email address (collectively referred to as "Credentials"). Shaddeh takes the protection and handling of your information very seriously. However, it is your responsibility to manage and safeguard your Credentials. You are accountable for all activities conducted using your Credentials, regardless of whether you authorized such activities.
If you suspect that your Credentials have been used without your permission or if your account has been compromised, you must promptly inform Shaddeh. You should notify us immediately if you detect any unauthorized use of your Credentials or any other security breaches.
Content
The Services may include a wide range of materials such as games, information, reviews, recommendations, messages, comments, posts, text, graphics, software, photographs, videos, data, and other content ("Content"), provided by Shaddeh or its partners ("Shaddeh-Supplied Content"). While Shaddeh aims to ensure the accuracy, completeness, and timeliness of this Content, we cannot guarantee its precision and are not responsible for any errors or omissions in the Shaddeh-Supplied Content.
You may also create, transmit, publish, or display various types of information through the Services, including data files, text, software, music, audio files, images, and videos. This information is referred to as "User Content." User Content also encompasses any information or data shared in messages, invitations, or chat messages, whether public or private.
We maintain a strict policy against Objectionable Content and abusive behavior. Shaddeh will review and moderate all submissions to ensure they align with our standards. Objectionable Content includes, but is not limited to: (i) sexually explicit material; (ii) content that is obscene, defamatory, libelous, slanderous, violent, or unlawful; (iii) content that violates third-party rights, such as copyright, trademark, privacy, or publicity rights, or content that is misleading or fraudulent; (iv) content promoting illegal activities, such as the sale of controlled substances, tobacco products, ammunition, or firearms.
You are solely responsible for your User Content and any consequences arising from its use, including any potential loss or damage suffered by Shaddeh. If you use the Services on behalf of an organization or individual, you also accept responsibility for the actions of those users and their User Content. Shaddeh does not control or monitor user-uploaded Content and does not guarantee its accuracy or quality. You acknowledge that the Services may expose you to offensive or objectionable materials. Shaddeh will not be liable for such Content.
You agree not to include any personally identifiable information about others in your User Content.
Shaddeh reserves the right to refuse to store or maintain your User Content for any reason. We may remove your User Content at our discretion if it violates these Terms or if the Services are terminated or suspended. If your User Content has an expiration date, it will be deleted after that date. Deleted User Content may not be recoverable. Shaddeh is not liable for the deletion or failure to store User Content.
We also reserve the right to remove any User Content from the Services at our discretion. You agree to promptly remove any Content that violates these Terms, including responding to takedown requests from Shaddeh. If you do not comply with such requests, Shaddeh retains the right to directly remove the Content in question and delete the account associated to the Content in question and even block the access to our services and applications and websites.
License from You
By submitting, posting, or uploading User Content through the Services, you grant Shaddeh a global, non-exclusive, perpetual, sublicensable, royalty-free license as outlined below;
For User Content that you make publicly accessible through the Services (e.g., posts on public forums or Teams inside the application), this license allows Shaddeh to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display the content (in whole or part) worldwide through the Services or in any other form, media, or technology now known or developed in the future, for any lawful business purpose.
For User Content shared privately through the Services (e.g., private chat messages), this license permits Shaddeh to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform, and display the content solely for the purpose of providing the Services to you.
Proprietary Rights
You acknowledge and agree that Shaddeh, or its licensors, hold all legal rights, titles, and interests in the Services and any content provided by Shaddeh (referred to as "Shaddeh-Supplied Content"). The Services and Shaddeh-Supplied Content are protected by copyrights, trademarks, patents, and other proprietary rights and laws, whether or not these rights are registered and regardless of their location worldwide.
Shaddeh acknowledges that it does not acquire any rights, titles, or interests from you (or your licensors) in any content you create, submit, post, transmit, share, or display through the Services. This includes any intellectual property rights related to such content, whether or not those rights are registered and wherever they may exist globally. Unless otherwise agreed upon in writing, you are responsible for protecting and enforcing these rights, and Shaddeh has no obligation to do so on your behalf.
License from Shaddeh and Restrictions on Use
Shaddeh grants you a personal, global, royalty-free, non-transferable, and non-exclusive license to use the software included with the Services. This license is intended solely for your personal, non-commercial, and recreational use, and must be used in accordance with these Terms.
You may not (and must not allow anyone else to): (a) copy, modify, create derivative works, reverse engineer, decompile, or otherwise attempt to extract the source code of the Services or any part thereof, unless expressly permitted by law or explicitly authorized by Shaddeh in writing (such as through an open-source license); or (b) attempt to disable or bypass any security measures used by the Services or any applications associated with them.
You must not engage in activities that disrupt or interfere with the Services, including the servers and networks connected to them.
You must not use the Services in a way designed to avoid paying applicable fees.
You must not access the Services to make claims of intellectual property infringement against Shaddeh or to develop a competing product or service.
You agree not to upload, record, publish, post, link, transmit, or distribute User Content, or use the Services in a manner that: (i) promotes, incites, or assists violence or illegal activities; (ii) infringes upon any third-party or Shaddeh's intellectual property rights, including copyrights, trademarks, patents, or privacy rights; (iii) misrepresents your identity or the origin of communications, or otherwise is materially false or misleading; (iv) promotes inappropriate, abusive, or illegal content; (v) harms minors; (vi) includes harmful software or data that may damage or interfere with other systems or personal information; (vii) violates laws or regulations, including those related to export control, unfair competition, or discrimination; or (viii) otherwise breaches these Terms or Shaddeh's Privacy Policy.
You may not use the Services if you are legally barred from receiving them under U.S. or other applicable laws, including the jurisdiction in which you are located or from which you access the Services. You confirm that you are of legal age as specified in the app store from which you downloaded the application.
Pricing Terms
While some of our Services are currently free, we may introduce fees for certain features or components in the future. We may not provide advance notice of such changes, and it will be your responsibility to stay informed about any applicable charges. Please check regularly for updates on pricing for the Services.
Privacy Policies
These Services are provided in accordance with our Privacy Policy, which is available (here). By using the Services, you agree to the use of your User Content and personal information in accordance with these Terms and Shaddeh's Privacy Policy.
Modification and Termination of Services
Shaddeh continually evolves to enhance user experience, which means the nature and features of the Services may change periodically without prior notice, in accordance with our Privacy Policy. Such changes may affect all versions of the Services and can include updates to fee structures, security measures, new functionalities, and other improvements. New features added to the Services will be governed by these Terms unless stated otherwise.
You can terminate these Terms at any time by canceling your account. Please note that cancellations are final and no refunds will be issued.
Shaddeh reserves the right to terminate your account or access to the Services at its sole discretion, with or without cause and without prior notice. Shaddeh will not be liable for any consequences resulting from such termination.
In the event of termination of the Services or your account, these Terms will also terminate. However, provisions that by their nature should survive termination will continue to apply, including those related to ownership, disclaimers of warranty, and limitations of liability.
Changes to the Terms
These Terms may be revised or updated periodically without prior notice and could have changed since your last use of the Services or visit to our website and/or the application. It is your responsibility to regularly review these Terms for any changes. By continuing to use the Services after any updates take effect, you agree to be bound by the revised Terms. If you do not accept the updated Terms, you should discontinue use of the Services. We recommend checking this page frequently to stay informed of any changes. The date of the most recent update is indicated at the bottom of this document.
Disclaimer of Warranty
YOU ACKNOWLEDGE AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR OWN RISK, AND THAT THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
SHADDEH, ALONG WITH ITS AFFILIATES, SUBSIDIARIES, AND LICENSORS, MAKES NO EXPRESS WARRANTIES AND DISCLAIMS ALL IMPLIED WARRANTIES REGARDING THE SERVICES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WITHOUT LIMITING THE FOREGOING, SHADDEH, ITS AFFILIATES, SUBSIDIARIES, AND LICENSORS DO NOT GUARANTEE THAT: (A) THE SERVICES WILL MEET YOUR EXPECTATIONS, (B) THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE, AND (C) THE DATA PROVIDED THROUGH THE SERVICES WILL BE ACCURATE.
Limitation of Liability
YOU ACKNOWLEDGE AND AGREE THAT SHADDEH, ITS AFFILIATES, SUBSIDIARIES, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES THAT YOU MAY INCUR, REGARDLESS OF THE CAUSE OR LEGAL THEORY INVOLVED. THIS INCLUDES, BUT IS NOT LIMITED TO, LOSS OF PROFITS (WHETHER DIRECT OR INDIRECT), LOSS OF GOODWILL OR BUSINESS REPUTATION, LOSS OF DATA, COST OF SUBSTITUTE GOODS OR SERVICES, OR OTHER INTANGIBLE LOSSES. THESE LIMITATIONS APPLY EVEN IF ANY LIMITED REMEDY FAILS OF ITS ESSENTIAL PURPOSE.
THESE LIABILITY LIMITATIONS APPLY WHETHER OR NOT SHADDEH HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF SUCH LOSSES.
SOME JURISDICTIONS, INCLUDING CERTAIN COUNTRIES, MAY NOT ALLOW LIMITATIONS OR EXCLUSIONS OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO THE ABOVE LIMITATION MAY NOT APPLY TO YOU. IN NO EVENT SHALL SHADDEH'S TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION (WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE), OR OTHERWISE) EXCEED ($1.00) USD.
Indemnification
You agree to indemnify and hold harmless Shaddeh, along with its subsidiaries, affiliates, officers, agents, employees, advertisers, licensors, suppliers, and partners (collectively referred to as "Shaddeh and Partners"), from any third-party claims related to or arising from: (a) your breach of these Terms or the Privacy Policy; (b) your use of the Services; (c) your violation of any applicable laws, regulations, or rules in connection with the Services; or (d) your User Content. This includes any claims, losses, damages (both actual and consequential), suits, judgments, litigation costs, and attorneys' fees incurred by Shaddeh and Partners.
Third-Party Content
The Services may contain links or references to other websites, resources, or content, including email content, that are not operated by Shaddeh. Shaddeh does not control or oversee these external sites or resources.
You acknowledge and agree that Shaddeh is not responsible for the availability of such external sites or resources and does not endorse any advertisements, products, or other materials provided by these third-party websites or resources.
Furthermore, Shaddeh is not liable for any losses or damages that you or other users may incur as a result of accessing or relying on external sites or resources linked through the Services.
Third Party Software
The Services may include third-party software ("Third Party Software") that is licensed according to the terms and conditions set by the respective third parties. These Terms do not alter or override the terms of any applicable license for such Third Party Software. Your rights regarding Third Party Software are governed solely by the licensing agreements provided by the third parties.
Feedback
You may choose to provide feedback or ideas or complaint about the Services, including suggestions for improvements. By submitting such feedback, you acknowledge that it is given voluntarily and without expectation of confidentiality or compensation. Shaddeh is free to use, modify, and share your feedback as we see fit, without any obligation to you.
Miscellaneous
These Terms, along with our Privacy Policy and Pricing Terms, represent the complete agreement between you and Shaddeh regarding the Services and related activities. Changes to these Terms will only be valid if made in writing and agreed upon by both parties or if updated versions are posted by Shaddeh. If any provision of these Terms is found to be unlawful, void, or unenforceable, it will be removed without affecting the remaining provisions. Shaddeh's failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other rights. Any waiver by Shaddeh must be in writing and only applies to the specific instance mentioned. You may not transfer or assign these Terms or any rights or licenses without Shaddeh's prior written consent. These Terms are governed by the laws of the Republic of Singapore, as specified by Shaddeh, regardless of conflict of law principles. Any legal actions related to these Terms will be exclusively handled in the specified jurisdiction, and you agree to waive any objections to the jurisdiction and venue of such courts.
Account Deletion
Inactive accounts will be deleted periodically if not used for 90 days, regardless of the content within these accounts or any potential losses that may occur to you as a result. Shaddeh reserves the full right to either delete these accounts immediately or retain them for a longer period.
Important Note
The Terms of use and Privacy policies within the game application in some features and services are specific to each service or feature and complement the Terms of use and Privacy policies found on our website and in the application. They do not constitute separate agreements. In the event of any violation, such as showing disrespect toward any religion or religious sect, disparaging prophets or messengers, using inappropriate language, harassing or disturbing others, offending any country, institution, or individual, promoting external websites, individuals, or products, enforcing personal opinions in a biased manner or mocking others' views, sharing images or videos that conflict with religious or moral principles, issuing fatwas or legislative information from unauthorized sources, posting harmful links, spreading inaccurate or fabricated information, impersonating a public figure or another user, spamming with repetitive messages, bullying, engaging in political discussions, causing disruption, creating multiple accounts to exploit free app features, or engaging in any form of cheating,… Shaddeh's management reserves the right to respond as it deems appropriate. This may include issuing a warning, temporarily restricting app access, limiting or suspending access to certain or all services, or permanently closing the account and deleting all associated player data, regardless of its content.
